SpaceX’s board has approved a significant compensation plan for Elon Musk, aiming for ambitious goals including colonizing Mars and operating data centers in space. Details about Musk’s pay package, which include rewards tied to achieving high market values and ambitious projects, were disclosed in a confidential registration statement submitted to the Securities and Exchange Commission.
Musk’s potential pay includes 200 million in super-voting restricted shares if SpaceX reaches a market value of $7.5 trillion and successfully establishes a human colony on Mars with at least 1 million residents. Additionally, he could receive 60.4 million restricted shares if the company meets valuation targets and operates space data centers providing 100 terawatts of computing power. Both rewards come with multi-vote Class B shares, vesting as the company’s value increases. However, Musk will receive no shares if the company fails to meet these ambitious targets, which are linked to his ongoing employment but not tied to a specific timeline. He has been earning a salary of $54,080 per year since 2019.
The worth of this compensation package remains uncertain, as SpaceX is privately held. The company is eyeing an initial public offering around June 28, which could value it at about $1.75 trillion. As of December 31, Musk also held 68.8 million in previously awarded Class B stock options. Currently, his net worth is estimated at $776 billion, and it could increase significantly if he meets performance goals at Tesla, where he owns about 20% of the stock.
Experts have noted that the ambitious metrics for Musk’s compensation are unusual in corporate America. Eric Hoffmann, a corporate governance consultant, remarked that there is no comparable compensation package and highlighted the difficulty in measuring such futuristic goals. Both SpaceX and Tesla are effectively competing for Musk’s attention, with each company needing to structure Musk’s time and focus accordingly. These extraordinary goals may set expectations for investors regarding each company’s future objectives.
